Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Wingspan platform (“Service”) provided by Wren Logic LLC (“Company,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Wingspan is a marketing analytics and media planning platform that aggregates advertising performance data, tracks campaign pacing, and provides reporting tools for marketing agencies and their clients.

2. Accounts and Access

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • Access is granted on a per-organization basis. Your organization administrator controls user roles and permissions.
  • We may suspend or terminate accounts that violate these Terms or at the request of your organization administrator.

3. Acceptable Use

You agree not to:

  • Share account credentials or embed keys with unauthorized parties
  • Attempt to access data belonging to other organizations
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated scripts, bots, or scrapers to access the Service without prior written consent

4. Data Ownership

  • Your Data: You retain all rights to the marketing data, campaign information, media plans, and other content you or your organization upload to or generate within the Service (“Customer Data”). We do not claim ownership of Customer Data.
  • Aggregated Data: We may use anonymized, aggregated data that does not identify you or your clients for purposes of improving the Service.
  • Platform Data: Advertising performance data ingested from third-party platforms (Google Ads, Meta, LinkedIn, etc.) is subject to those platforms’ respective terms of service. You represent that you have the necessary authorization to access and process that data through the Service.

5. Third-Party Integrations

The Service integrates with third-party services including Google (OAuth, BigQuery), Slack, and various advertising platforms. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or policies of third-party services.

6. Client Embed Dashboards

  • Embed dashboards are accessible via unique embed keys without user authentication.
  • You are responsible for controlling distribution of embed URLs and keys.
  • You may revoke or regenerate embed keys at any time through the Service.
  • Embed dashboards display read-only data. We are not liable for unauthorized access resulting from shared or compromised embed keys.

7. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • We may perform scheduled maintenance with reasonable advance notice when possible.
  • We are not liable for downtime caused by third-party service outages, including but not limited to cloud infrastructure providers, advertising platforms, and messaging services used by the Service.

8. Intellectual Property

  • The Service, including its software, design, trademarks, and documentation, is the exclusive property of Wren Logic LLC.
  • These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the fees paid by your organization in the twelve (12) months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Wren Logic LLC from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including advertising platform terms of service.

11. Termination

  • Either party may terminate the Service relationship with thirty (30) days’ written notice.
  • We may suspend access immediately if we reasonably believe you are violating these Terms.
  • Upon termination, your right to access the Service ceases. We will retain Customer Data for thirty (30) days following termination, during which you may request an export. After that period, we may delete Customer Data.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Colorado.
